Falcomatics

Terms of Service

Effective Date: September 11, 2026 .

These Terms of Service govern your access to and use of the Falcomatics website, platform, applications, software, and related services. By accessing or using our services, you agree to these Terms. If you do not agree with them, please do not use the services.

1. Our Services

Falcomatics provides GPS tracking, telematics, fleet and asset management, condition monitoring, analytics, and related technology solutions.

Depending on the services selected, the platform may provide features such as:

  • Real-time vehicle and asset tracking
  • Fleet and equipment monitoring
  • Location and movement information
  • Telematics and sensor data
  • Vehicle and equipment health monitoring
  • Alerts, reports, dashboards, and analytics
  • Maintenance and operational insights
  • Mapping and route-related information
  • Integrations with third-party systems and connected devices
The features available to you may depend on your subscription, service agreement, hardware configuration, or other commercial arrangements with Falcomatics.

2. Using Our Services

You may use the Falcomatics platform only for legitimate business or operational purposes and in accordance with these Terms and applicable laws.

You agree not to:

  • Use the platform for unlawful, fraudulent, or unauthorized activities.
  • Attempt to gain access to another user's account or information.
  • Interfere with the operation, security, or availability of the platform.
  • Reverse engineer, decompile, disassemble, or attempt to obtain the source code of the software.
  • Use automated tools, bots, crawlers, or similar methods to access or collect information from the platform without our written permission.
  • Upload or transmit viruses, malicious code, or other harmful material.
  • Use the service in a way that could damage Falcomatics, its customers, systems, or third-party providers.
We may suspend or restrict access where we reasonably believe that an account or service is being misused, compromised, or used in violation of these Terms.

3. Your Data

You retain ownership of the business, vehicle, asset, location, operational, and other information that you provide to or collect through the Falcomatics platform.
This may include information such as vehicle details, asset information, GPS locations, sensor readings, driver or operator information, maintenance records, and operational data.
You grant Falcomatics the limited right to host, process, transmit, analyze, and display this information as necessary to provide, maintain, secure, and support the services.
You are responsible for ensuring that you have the appropriate rights and permissions to collect and use the information you provide to Falcomatics, including any information relating to vehicles, assets, drivers, employees, contractors, or other individuals.

4. Service Availability and Data Retention

We make reasonable efforts to keep our services available and operating reliably. However, the platform may occasionally be unavailable due to maintenance, upgrades, technical issues, connectivity problems, third-party services, or circumstances outside our control.
GPS and telematics services also depend on factors such as network coverage, satellite availability, hardware performance, power supply, and third-party communication services. As a result, location or sensor information may not always be available or completely accurate.
Data storage and retention periods may vary depending on the service or subscription selected. Unless otherwise agreed in writing, Falcomatics does not guarantee permanent storage of historical data.
Customers should maintain appropriate backups of information that is important to their business operations.

5. Third-Party Services and Hardware

Falcomatics services may work with third-party hardware, mapping services, communication networks, cloud infrastructure, APIs, or other external services.
The availability and performance of these third-party services may be outside Falcomatics' control. Changes, interruptions, or failures affecting a third-party service may therefore affect the availability or performance of related Falcomatics features.
Where third-party terms apply to a service or integration, those terms may also apply to your use of that service.

6. Intellectual Property

The Falcomatics platform, software, technology, designs, interfaces, documentation, trademarks, logos, graphics, and other materials provided by Falcomatics are owned by or licensed to Falcomatics and are protected by applicable intellectual property laws.
Except where expressly permitted under these Terms or a separate written agreement, you may not copy, modify, distribute, sell, license, publish, reverse engineer, or create derivative works from Falcomatics' technology or content.
Nothing in these Terms transfers ownership of Falcomatics' intellectual property to you.

7. License to Use the Platform

Subject to these Terms and any applicable commercial agreement, Falcomatics grants you a limited, non-exclusive, non-transferable right to access and use the services for your authorized internal business purposes.
This right ends when your account or subscription is terminated, unless a separate written agreement provides otherwise.
You may not resell, sublicense, or provide access to the platform to third parties unless Falcomatics has expressly authorized it in writing.

8. Subscriptions and Payments

Certain Falcomatics services, features, hardware integrations, or software components may require a paid subscription or separate commercial agreement.
Pricing, billing periods, payment terms, renewal conditions, and cancellation requirements will be communicated during the purchase process or included in the applicable agreement.
Unless otherwise stated in writing, subscriptions may renew automatically for the applicable renewal period. You are responsible for cancelling a subscription before its renewal date if you do not wish to continue the service.
Fees already paid are generally non-refundable except where required by applicable law or expressly agreed otherwise.

9. Service Changes

Falcomatics may update, improve, modify, or discontinue features of the platform from time to time.
We may also introduce new features, change existing functionality, or make technical changes where reasonably necessary to improve security, performance, reliability, or the overall service.
Where a change materially affects a service covered by a separate commercial agreement, the terms of that agreement will apply.

10. Disclaimers

The Falcomatics services are provided on an "AS IS" and "AS AVAILABLE" basis, except where otherwise agreed in writing.
We do not guarantee that the services will always be uninterrupted, error-free, or available at all times.
GPS, telematics, sensor, and analytics information is intended to support operational decision-making. It should not be treated as a guarantee of vehicle condition, equipment performance, driver behavior, safety, or future events.
To the extent permitted by law, Falcomatics disclaims warranties that are not expressly stated in these Terms or an applicable written agreement.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Falcomatics and its affiliates, officers, employees, partners, and service providers will not be responsible for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business, loss of data, business interruption, or loss of goodwill.
To the extent permitted by law, Falcomatics' total liability arising from or relating to these Terms will not exceed the fees paid by the customer for the applicable services during the twelve months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot legally be limited under applicable law.

12. Suspension and Termination

Falcomatics may suspend or terminate access to the services if:

  • You materially breach these Terms.
  • Payments remain outstanding.
  • Your use of the service creates a security or operational risk.
  • The service is being used for unlawful or unauthorized purposes.
  • Suspension or termination is required by law or by a valid legal or regulatory request.
You may stop using the services at any time, subject to any cancellation or termination terms in your applicable subscription or commercial agreement.
Provisions relating to intellectual property, data, liability, and any other terms that are intended to continue after termination will remain in effect.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes to our services, business practices, legal requirements, or security standards.
When we make significant changes, we may provide notice through the website, platform, email, or another appropriate method.
Your continued use of the services after the updated Terms become effective means that you accept the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law provisions.
Any legal action arising from or relating to these Terms will be subject to the applicable state or federal courts located in Oakland County, Michigan, unless applicable law requires otherwise.
